Welcome to RentalFlick. These Terms of Service ("Terms") govern your access to and use of the RentalFlick website, mobile applications, and services (collectively, the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Platform.

Please read these Terms carefully, as they contain important information about your legal rights, remedies, and obligations. By using the Platform, you agree to these Terms, our Privacy Policy, and our Cookie Policy.

In these Terms, the following definitions apply:

• "RentalFlick," "we," "our," or "us" refers to RentalFlick, Inc., the company that operates the Platform.
• "User," "you," or "your" refers to any person who accesses or uses the Platform.
• "Landlord" refers to a User who lists a property for rent on the Platform.
• "Property Manager" refers to a User who manages properties on behalf of Landlords.
• "Tenant" refers to a User who rents or seeks to rent a property listed on the Platform.
• "Listing" refers to a property advertised for rent on the Platform.
• "Booking" refers to a reservation of a property by a Tenant.
• "Content" refers to all text, graphics, images, music, software, audio, video, information, or other materials that are posted, uploaded, or otherwise provided on the Platform.

Account Creation

To use certain features of the Platform, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

Account Eligibility

You must be at least 18 years old and able to form legally binding contracts to create an account and use the Platform. By creating an account, you represent and warrant that you meet these requirements.

Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

Account Verification

We may require you to verify your identity or provide additional information to maintain your account. Failure to complete any verification process may result in the suspension or termination of your account.

When using the Platform, you agree not to:

• Violate any applicable laws or regulations
• Infringe the rights of others, including privacy and intellectual property rights
• Post false, misleading, or deceptive content
• Harass, threaten, or intimidate other users
• Distribute spam, unsolicited messages, or advertisements
• Use the Platform for any illegal or unauthorized purpose
• Attempt to gain unauthorized access to the Platform or other users' accounts
• Interfere with the proper functioning of the Platform
• Collect or store personal data about other users without their consent
• Use the Platform in a manner that could damage, disable, overburden, or impair it

We reserve the right to remove any content or suspend any account that violates these rules.

Listing Requirements

Landlords and Property Managers are responsible for ensuring that their Listings comply with all applicable laws and regulations, including housing laws, zoning regulations, and health and safety requirements.

Listing Content

Listings must include accurate and complete information about the property, including:

• Property description, features, and amenities
• Rental terms and conditions
• Pricing and fees
• Availability
• House rules
• Accurate photographs of the property

Listing Removal

We reserve the right to remove any Listing that violates these Terms, contains false or misleading information, or otherwise fails to meet our standards.

Booking Process

Tenants may request to book a property through the Platform. Landlords or Property Managers may accept or decline booking requests at their discretion, subject to applicable laws prohibiting discrimination.

Booking Agreement

When a booking is confirmed, a legally binding agreement is formed between the Tenant and the Landlord or Property Manager. We are not a party to this agreement but may facilitate certain aspects of the transaction.

Booking Modifications

Modifications to bookings must be agreed upon by both parties and may be subject to additional fees or terms.

Service Fees

We charge service fees for the use of the Platform. These fees are disclosed before you complete a transaction and may vary based on factors such as the rental amount, duration, and location.

Payment Processing

Payments are processed through our third-party payment processors. By using the Platform, you agree to comply with the terms and conditions of these payment processors.

Taxes

Users are responsible for paying all applicable taxes related to their use of the Platform, including but not limited to rental taxes, sales taxes, and income taxes.

Currency

All payments on the Platform are processed in the currency specified in the Listing. Currency conversion fees may apply if your payment method uses a different currency.

Cancellation Policies

Landlords and Property Managers may choose from several cancellation policies offered by the Platform. The applicable cancellation policy will be displayed on the Listing before booking.

Refunds

Refunds are processed according to the applicable cancellation policy and our refund procedures. Service fees may be non-refundable in certain circumstances.

Extenuating Circumstances

In certain extenuating circumstances (such as natural disasters, public health emergencies, or government travel restrictions), we may override the normal cancellation policy and provide refunds or waive cancellation penalties.

Review Guidelines

Users may leave reviews and ratings after completing a transaction. Reviews must be honest, relevant, and respectful. We prohibit reviews that contain:

• False or misleading information
• Offensive or discriminatory content
• Personal information about other users
• Promotional content or spam

Review Moderation

We reserve the right to remove or edit reviews that violate our guidelines or these Terms.

Platform Content

The Platform and its original content, features, and functionality are owned by RentalFlick and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

User Content

By posting Content on the Platform, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display such Content in connection with providing and promoting the Platform.

Copyright Infringement

If you believe that your copyright-protected work has been copied in a way that constitutes copyright infringement, please contact our copyright agent with the following information:

• A description of the copyrighted work that you claim has been infringed
• A description of where the material that you claim is infringing is located on the Platform
• Your contact information
• A statement by you that you have a good faith belief that the disputed use is not authorized
• A statement by you, made under penalty of perjury, that the information in your notice is accurate

To the maximum extent permitted by law, RentalFlick and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Platform
• Any conduct or content of any third party on the Platform
• Any content obtained from the Platform
• Unauthorized access, use, or alteration of your transmissions or content

In no event shall our total liability to you for all claims exceed the amount you have paid to us in the twelve (12) months preceding the event giving rise to the liability.

You agree to defend, indemnify, and hold harmless RentalFlick and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with:

• Your access to or use of the Platform
• Your violation of these Terms
• Your violation of any third-party right, including without limitation any intellectual property right
• Your Content or the use thereof

These Terms shall remain in full force and effect while you use the Platform. We may terminate or suspend your account and access to the Platform immediately, without prior notice or liability, for any reason, including, without limitation, if you breach these Terms.

Upon termination, your right to use the Platform will immediately cease. If you wish to terminate your account, you may simply discontinue using the Platform or delete your account through the account settings.

All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

Arbitration

Any dispute arising from or relating to these Terms or your use of the Platform shall be resolved by binding arbitration in accordance with the American Arbitration Association's rules. The arbitration shall be conducted in San Francisco, California, and judgment on the arbitration award may be entered in any court having jurisdiction thereof.

Class Action Waiver

You agree that any arbitration or proceeding shall be limited to the dispute between us and you individually. To the full extent permitted by law, (a) no arbitration or proceeding shall be joined with any other; (b) there is no right or authority for any dispute to be arbitrated or resolved on a class action basis; and (c) there is no right or authority for any dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.

Exceptions

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights pending the completion of arbitration.

We reserve the right to modify or replace these Terms at any time. We will provide notice of any material changes by posting the new Terms on the Platform and updating the "Last updated" date. Your continued use of the Platform after any such changes constitutes your acceptance of the new Terms.

We encourage you to review these Terms periodically for any changes. If you do not agree to the modified Terms, you should discontinue your use of the Platform.

Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices published by RentalFlick on the Platform, shall constitute the entire agreement between you and RentalFlick concerning the Platform.

Severability

If any provision of these Terms is deemed invalid or unenforceable, that provision shall be enforced to the maximum extent possible, and the other provisions shall remain in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of RentalFlick.

Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void. We may assign or transfer these Terms, at our sole discretion, without restriction.
